Widely experienced senior corporate/commercial attorney with extensive and diverse experience acting as general counsel to  entrepreneurs and owners of privately owned corporations and, in this capacity, advising with respect to legal, structural and business aspects of commercial transactions, including buying and selling businesses, private company management buy-outs and shareholder agreements and methods to negotiate and deal with, amongst others, partners/joint-venturers, lenders, investors, acquisitions and sales of companies/businesses and public and private financings. Also acted as counsel to underwriters in financings of public corporations ranging from small emerging corporations to widely held industrial leaders.

SELECTED ACHIEVEMENTS

Acting as general counsel and adviser with respect to:

    - the sale of a portfolio of hotels to financial institutions and other purchasers

    - sale of a private owned specialty food producing company to national food
      and related products manufacturing company

    - a joint-venture between hotel owners/operators and real estate investment fund,
      established for the acquisition and/or construction of a series of hotels

    - family controlled companies in connection with structuring and implementing
      management buy-outs and shareholders’ agreements governing on-going
      operations of companies and succession of ownership

    - underwriters of public financings of emerging companies involved in the bio-tech industry
